First Time Visiting Southern Ireland Travel Pass Business Participant Terms & Conditions
These Terms and Conditions (the “Terms”) govern the relationship between First Time Visiting LLC (collectively referred to herein as “First Time Visiting” or “Us” or “We” or “Company” or “the Company” or “Our”) and any person or business (collectively referred to herein as “you” or “your” or “Participating Business” or “Your Business”) participating in, applying for, or signing-up for the First Time Visiting Southern Ireland Travel Pass.
By submitting your Southern Ireland Travel Pass Business Sign-Up form, you agree that you have read, understood, and agree to these Terms and our Privacy Policy.
1. Travel Pass Definitions
Southern Ireland Travel Pass (“Pass” or “Product” or “Travel Pass” or “Southern Ireland Travel Pass”): a collection of unique Promo Codes for Attractions with multiple Participating Businesses, sold by First Time Visiting LLC to individuals and entities.
Participating Business: any business that participates in the First Time Visiting Southern Ireland Travel Pass or expresses interest in participating in the Travel Pass, either by submission of a form on www.firsttimevisiting.com, email correspondence, or any other means of communication.
Passholders: individuals or entities who have purchased a First Time Visiting Southern Ireland Travel Pass.
Attraction: products or services sold by the Participating Business that are included in the Participating Business’s Southern Ireland Travel Pass Business Sign-Up form or agreed upon in email communication by both the Participating Business and First Time Visiting. In the case that both a Southern Ireland Travel Pass Business Sign-Up form and email agreement between First Time Visiting and the Participating Business exist, the email agreement will dictate the Attraction.
Discount: an agreed upon reduction on the price of an Attraction provided to Passholders when purchasing a Participating Business’s Attraction(s). Discounts are defined by the Participating Business when submitting a Southern Ireland Travel Pass Business Sign-Up form or through email communication and agreement with First Time Visiting. In the case that both a Southern Ireland Travel Pass Business Sign-Up form and email agreement between First Time Visiting and the Participating Business exist, the email agreement will dictate the Discount.
Promo Code (“Code” or “Promo''): a unique alphanumeric code that a Passholder can use to attain the agreed upon Discount when purchasing the Participating Businesses’s Attraction online.
Unlimited-Use Promo Code: a Promo Code that can be used by multiple Passholders and will not expire after a Passholder uses it to purchase an Attraction. Unlimited Use Promo Codes expire on either January 1st, 2025 or January 1st, 2026, as detailed in the Your Responsibilities section of these terms.
Single-Use Promo Code: a Promo Code that will expire after a Passholder uses it to purchase an Attraction. A Single-Use Promo Code will expire on either January 1st, 2025 or January 1st, 2026, as detailed in the Your Responsibilities section of these terms.
2. Your Responsibilities
a) The Participating Business agrees to provide First Time Visiting unique Promo Codes to their Attraction(s) for inclusion in the Travel Pass. i) Promo Codes must be provided within 30 days of signing up to participate on the Travel Pass. Within this 30 day window, a business must either provide 2 Unlimited-Use Promo Codes or 1,000 Single-Use Promo Codes. 1) If a Participating Business chooses to provide 2 Unlimited-Use Promo Codes, one of the Promo Codes should expire on January 1st, 2025 and the other should expire on January 1st, 2026. 2) If a Participating Business chooses to provide 1,000 Single-Use Promo Codes, a minimum of 500 Promo Codes should have an expiration date no earlier than January 1st, 2026. The remainder of the Promo Codes should not expire no earlier than January 1st, 2025. 3) If expiration date functionality is not possible for a Participating Business, the Participating Business shall honor the provided Promo Codes through January 1st, 2026. ii) First Time Visiting may require additional Promo Codes from the Participating Business for continued inclusion on the Travel Pass. iii) The Participating Business’s Promo Codes are to be shared with First Time Visiting via a CSV (Comma Separated Values) file. b) The Participating Business is responsible for accepting the agreed upon Southern Ireland Travel Pass Discount for the promoted Attraction when a Passholder uses the Participating Business’s Promo Code during online sales checkout on the Participating Business’s Attraction sales website. c) Participating Business agrees to honor their provided Promo Codes and configure their online sales systems to fulfill the agreed upon Travel Pass Discount. d) The Participating Business is responsible for all sales of the Attraction. First Time Visiting will not sell or collect payment from Passholders for the Participating Business’s Attractions. e) Participating Business is responsible for the fulfillment of the services described in the Attraction. f) Participating Business is responsible for making known to First Time Visiting any changes to the details of sale or operation of the Attraction. g) Participating Business will provide training for their staff members to understand the Southern Ireland Travel Pass and ensure these Terms are met. h) Participating Business will comply with these Terms and all applicable local, state, and national laws, rules, and regulations. i) In the event that the Participating Business terminates their participation on the Southern Ireland Travel Pass, the Participating Business must continue to honor any Promo Codes and Discounts that have been included on Travel Passes sold prior to the date of termination until the date of the Promo Code’s expiration. If the Promo Code does not have an expiration date, the Promo Code must be honored through January 1st, 2026.
3. Our Distribution, Sales, Marketing, and Operations of the Southern Ireland Travel Pass
a) We may sell the Southern Ireland Travel Pass to whomever we choose. b) We, at our sole discretion, may decide to include or exclude a Participating Business from the Southern Ireland Travel Pass. c) We, at our sole discretion, may cancel or delay the launch of the Southern Ireland Travel Pass at any time for any reason. d) We, at our sole discretion, may stop sales of the Southern Ireland Travel Pass at any time for any reason. e) We, at our sole discretion, may provide Southern Ireland Travel Pass to individuals or businesses at no cost. f) We, at our sole discretion, may sell Southern Ireland Travel Pass to individuals at any price. We reserved the right to change the price of the Southern Ireland Travel Pass or provide discounts on the Southern Ireland Travel Pass at any time as we see fit. g) We, at our sole discretion, may elect to sell Southern Ireland Travel Pass to 3rd party distributors, which may include, but are not limited to: i) Participating Businesses ii) Affiliate or Influencer Marketers iii) Individuals iv) Other businesses h) We have no obligation to disclose to Participating Businesses any details about Southern Ireland Travel Pass sales, launch delays or cancellations, or cancellations of Southern Ireland Travel Pass sales of any kind. i) Featured Participating Businesses, Attractions, and Travel Pass value described in marketing and promotional communications are for example purposes only. Actual Participating Businesses, Attractions, and Travel Pass value will vary. j) We reserve the right to change the design of the Southern Ireland Travel Pass at any time. Any designs shared in marketing and promotional communications are for example purposes only. Actual Southern Ireland Travel Pass design will vary.
4. Refunds, Exchanges & Cancellations
a) Travel Pass Refunds & Exchanges i) No refunds shall be provided once the Travel Pass has been delivered to a Passholder. ii) In the event of a misprint or invalid coupon, First Time Visiting will replace the coupon with a valid one upon verification. b) Participating Business Refunds, Exchanges & Cancellations i) All bookings made by Passholder with a Participating Business are final, unless otherwise noted by the vendor. ii) First Time Visiting is not responsible for any Participating Business’s Attraction cancellations, delays, or schedule unavailability. iii) Participating Business is responsible for dealing with any issues directly with the Customer.
5. Disclaimer
a) First Time Visiting holds full discretion to change, at any time, which Participating Businesses or Attractions are promoted and included in the Travel Pass. b) First Time Visiting is not responsible in any way for the Customer’s fulfillment of the promoted Attraction at the respective Participating Business. c) Joining the Southern Ireland Travel Pass as a Participating Business does not guarantee your business any new customers, returning customers, revenue, profit, or sales. We do not make any guarantees regarding your business performance by becoming a Participating Business in the Southern Ireland Travel Pass. d) We do not guarantee any quantity of Southern Ireland Travel Pass printed, distributed or sold. e) First Time Visiting is not responsible for the misuse or sharing of Promo Codes by Passholders, Participating Business customers, other businesses, or any other person or entity. f) First Time Visiting does not make any guarantee that Promo Codes will not be published on public forums. g) First Time Visiting is not responsible in any way for the Customer’s fulfillment of the promoted Attraction at the Participating Business. h) First Time Visiting LLC and its affiliates, officers, directors, shareholders, employees, agents, partners, licensor, and suppliers will not be liable or responsible for the conduct of individuals or groups who have purchased, have used or possess the Southern Ireland Travel Pass including, but not limited to: i) Lost wages, revenues or profits; ii) Any damage to property or inventory; iii) Stolen property or inventory; iv) Bodily harm, including death, to anyone affiliated or not affiliated with the Participating Business. i) First Time Visiting will not be held liable for any damages that result from the Customer’s fulfillment of the Travel Pass promoted Attractions, including but not limited to personal or mortal injuries, cancellations, refusal of service and other changes to normal business operations or schedules. j) First Time Visiting LLC and its affiliates, officers, directors, shareholders, employees, agents, partners, licensor, and suppliers will not be liable for any losses related to usage or acceptance of counterfeit Southern Ireland Travel Passes or Promo Codes.
5. General
k) The relationship of the parties established by these Terms is that of independent contractors, and nothing contained in these Terms should be construed to give either party the power to direct or control the day-to-day activities of the other. All financial and other obligations associated with each party’s business are the sole responsibility of that party. l) The Participating Business does not have any right to revenues or profits from sales of the Southern Ireland Travel Pass. m) Except for the terms defined within the section titled “Your Responsibilities,” we reserved the right to amend & update these Terms at any time, at our discretion, without any notice. n) These Terms shall be governed by the laws of the State of California, without regard to its conflicts of law provisions. All disputes of any nature arising out of or in connection with these Terms, shall be finally resolved through binding arbitration conducted in accordance with the rules and procedures of the Judicial Arbitration and Mediation Service (JAMS) by three (3) arbitrators. The claimant shall identify its appointed arbitrator at the time of submission of the request for arbitration. The respondent shall identify its appointed arbitrator at the time of answer to the request for arbitration. The two party appointed arbitrators shall then appoint the chairperson within 30 days of the answer to the request for arbitration. The arbitration shall be conducted in San Francisco. The prevailing party shall be entitled to reasonable attorneys' fees and costs. An award rendered by arbitrators shall be final and binding on the Parties. The Parties may agree to consult a mediator prior to arbitration. Any action or proceeding by you relating to any dispute must commence within one year after the cause of action accrues. o) Participating Business hereby grants to First Time Visiting the nonexclusive and royalty free right and license to use any and all images, likeness, and biographical and professional information (“Images”) in all formats and media, whether now known or existing or hereafter discovered or developed for all or any purposes whatsoever, including, but not limited to, for purposes of publication, commerce, and trade and in connection with or as part of Participating Businesses trade name, or any goods, services, package, label, trademark, logo, trade dress, or advertising, promotional, marketing, or sales materials (“License”). For purposes of clarity and without limiting the foregoing, Participating Business acknowledges and agrees that the rights and License granted to First Time Visiting under these Terms include First Time Visiting’s rights: (a) to modify, edit, combine with other materials, translate, include in collective works, and create derivative works of the Images in whole or in part and (b) to reproduce, perform (publicly or otherwise), display (publicly or otherwise) and transmit the Images, in whole or in part. p) Provisions of these Terms which by their nature should apply beyond their terms will remain in effect after any termination or expiration of these Terms. q) Volunteered Information: If you volunteer feedback, suggestions, or information through email, online form submissions, suggestions, or any other means of communication, First Time Visiting effectively owns these ideas and information and we can use them without informing or compensating you. r) You may not transfer any of your rights or obligations under these Terms without our consent. s) These Terms do not create or confer any third-party beneficiary rights. t) If we do not enforce a provision in these Terms, it will not be considered a waiver.
6. Privacy
Your privacy matters to us. You can learn how we handle your information when you use our Services by reading our Privacy Policy. We encourage you to give the Privacy Policy a careful look because, by using our Services, you agree that First Time Visiting can collect, use, and share your information consistent with that policy.
7. Intellectual Property
All content within the Travel Pass, including logos, graphics, and text, remains the intellectual property of First Time Visiting or promoted businesses and may not be reproduced or used for commercial or any purposes without written consent.
8. Force Majeure
First Time Visiting shall not be liable for any delay in delivery, suspension, cancellation or other failure of performance due to any causes beyond its control, including but not limited to acts of God or government, labor disputes or inability to secure materials, labor or transportation.
9. Indemnity
You agree, to the extent permitted by law, to indemnify, defend, and hold harmless First Time Visiting and its affiliates, officers, directors, shareholders, employees, agents, partners, licensors, and suppliers harmless from and against any and all complaints, charges, claims, damages, losses, costs, liabilities, and expenses (including attorneys’ fees) due to, arising out of, or relating in any way to: (a) your participation in the Southern Ireland Travel Pass; (b) your interactions with Pass Holders (c) your actions or behavior; (d) your actual or alleged breach of these Terms; (e) your wrongful or improper participation in the Southern Ireland Travel Pass; (f) your violation of any rights of another; and (g) your violation of any law, rule or regulation of the United States or any other country. This obligation will survive the termination or expiration of these Terms and/or your participation in the Southern Ireland Travel Pass. You agree to comply with these Terms and to defend, indemnify and hold harmless First Time Visiting LLC from and against any and all claims and demands arising from participation in the Southern Ireland Travel Pass.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIRST TIME VISITING AND ITS AFFILIATES, OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, AGENTS, PARTNERS, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR OTHER DAMAGES OF ANY TYPE OR KIND (INCLUDING PERSONAL INJURY, LOSS OF DATA, LOSS OF LIFE, REVENUE, PROFITS, REPUTATION, USE OR OTHER ECONOMIC ADVANTAGE) OR OTHER INTANGIBLE LOSSES (EVEN IF FIRST TIME VISITING HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) RESULTING FROM: (A) YOUR INCLUSION OR EXCLUSION AS A PARTICIPATING BUSINESS; (B) THE CONDUCT OR STATEMENTS OF SOUTHERN IRELAND TRAVEL PASS HOLDERS; (C) ANY CHANGES MADE TO THE SOUTHERN IRELAND TRAVEL PASS OR ANY TEMPORARY OR PERMANENT CESSATION OF THE SOUTHERN IRELAND TRAVEL PASS OR ANY PART THEREOF; (D) THE UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; AND (E) ANY OTHER MATTER RELATING TO THE SOUTHERN IRELAND TRAVEL PASS. IN NO EVENT WILL FIRST TIME VISITING’S AGGREGATE LIABILITY IN CONNECTION WITH ANY PRODUCT OR SERVICE, INCLUDING ANY VOUCHER, EXCEED THE FEES ACTUALLY PAID BY YOU TO FIRST TIME VISITING IN THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR $100, WHICHEVER IS LESS.
THIS LIMITATION OF LIABILITY SECTION APPLIES FULLY IN ALL STATES, INCLUDING RESIDENTS OF NEW JERSEY. FIRST TIME VISITING WILL NOT ASSESS THE SUITABILITY, LEGALITY OR ABILITY OF ANY SOUTHERN IRELAND TRAVEL PASS CUSTOMERS, AND YOU EXPRESSLY WAIVE AND RELEASE FIRST TIME VISITING FROM ANY AND ALL LIABILITY, CLAIMS, INJURY, ILLNESS, OR DAMAGES ARISING FROM OR IN ANY WAY RELATED TO THE SOUTHERN IRELAND TRAVEL PASS. FIRST TIME VISITING WILL NOT ASSESS THE QUALITY, SAFETY, OR LEGALITY OF THE ITEMS PROVIDED BY PARTICIPATING BUSINESSES, AND YOU EXPRESSLY WAIVE AND RELEASE FIRST TIME VISITING FROM ANY AND ALL LIABILITY, CLAIMS, INJURY, ILLNESS OR DAMAGES ARISING FROM OR IN ANY WAY RELATED TO PARTICIPATING BUSINESSES, AND THE ITEMS THEY PROVIDE. FIRST TIME VISITING WILL NOT BE A PARTY TO DISPUTES OR NEGOTIATIONS OF DISPUTES, BETWEEN YOU AND ANY SOUTHERN IRELAND TRAVEL PASS HOLDERS. RESPONSIBILITY FOR THE DECISIONS YOU MAKE REGARDING THE SOUTHERN IRELAND TRAVEL PASS (WITH ALL THEIR IMPLICATIONS) RESTS SOLELY WITH YOU. IN ADDITION, WE WILL NOT ASSESS THE SUITABILITY, LEGALITY OR ABILITY OF ANY THIRD PARTIES, AND YOU EXPRESSLY WAIVE AND RELEASE FIRST TIME VISITING FROM ANY AND ALL LIABILITY, CLAIMS, CAUSES OF ACTION, INJURY, ILLNESS, OR DAMAGES ARISING FROM YOUR USE OR INVOLVEMENT WITH THE SOUTHERN IRELAND TRAVEL PASS, OR IN ANY WAY RELATED TO THE THIRD PARTIES INTRODUCED TO YOU BY OUR PRODUCTS AND SERVICES.
11. Severability
If any provision of these Terms is found unenforceable, then that provision will be severed from these Terms and not affect the validity and enforceability of any remaining provisions.
12. Termination
a) First Time Visiting may decide to terminate the Participating Business’s participation in the Southern Ireland Travel Pass at any time for any reason. b) The Participating Business may decide to terminate their participation in the Southern Ireland Travel Pass at any time with a 30 day written notice to First Time Visiting.
